Technician Terms of Service

    (For Verified Locksmith Technicians Only)

    Effective Date: January 23, 2026

    These Technician Terms of Service ("Technician Terms") govern your use of the LockAtlas Technician mobile application ("Technician App") operated by LockAtlas Corporation ("LockAtlas," "we," "us"), a Delaware corporation. By creating a technician account, you ("Technician," "you") agree to these Technician Terms.

    Privacy Policy: By using the Technician App, you also agree to our Technician Privacy Policy, which describes how we collect and use your information, including background location data.

    1. Independent Contractor Status

    Critical Legal Classification

    YOU ARE AN INDEPENDENT CONTRACTOR, NOT AN EMPLOYEE, AGENT, PARTNER, OR JOINT VENTURER OF LOCKATLAS.

    This means:

    • You control when, where, and how you provide services
    • You set your own schedule and decide which jobs to accept
    • You may operate under your own business name (sole proprietor, LLC, S-Corp, etc.)
    • You are responsible for your own taxes, insurance, licenses, and equipment
    • You are not entitled to employee benefits (health insurance, paid leave, unemployment, workers compensation from LockAtlas)
    • LockAtlas does not supervise, direct, or control how you perform services

    By accepting these Terms, you acknowledge and agree that you are NOT an employee of LockAtlas under federal, state, or local law, and you will not make any claims to the contrary.

    2. Mandatory Requirements for Platform Access

    To maintain an active account on the LockAtlas platform, you must at all times have current, valid, and verifiable:

    Licenses

    • Valid New York State locksmith license (or applicable local license where required)
    • Business registration (if operating as a business entity)
    • Valid driver's license (if driving to jobs)

    Insurance

    General Liability Insurance:

    • Minimum coverage of $1,000,000 per occurrence
    • LockAtlas Corporation must be listed as "additional insured"
    • Certificate of insurance must be uploaded and verified

    Workers Compensation Insurance OR Exemption:

    • If you are a sole proprietor with NO employees: You may sign a Workers Compensation Exemption Waiver
    • If you operate as an LLC/Corp OR have ANY employees: You MUST provide proof of active workers compensation insurance

    Background Checks

    • Pass a comprehensive background check (criminal, identity, sex offender registry) administered by Checkr or similar provider
    • Background checks are renewed every 12 months
    • Failure to pass a background check or renewal results in immediate deactivation

    Account Suspension or Termination

    WE MAY IMMEDIATELY SUSPEND OR PERMANENTLY DEACTIVATE YOUR ACCOUNT WITHOUT NOTICE if any required document expires, becomes invalid, or if you fail to maintain required insurance or licenses. You will not receive job opportunities while your account is suspended.

    3. Periodic Training and Certification

    You agree to complete mandatory online training (approximately 30 minutes) when requested by LockAtlas, typically every 12 months. Training covers:

    • Platform policies and professional conduct standards
    • Pricing transparency and customer service best practices
    • Safety protocols and fraud prevention
    • NYC locksmith regulations and compliance

    Failure to complete training within 7 days of notification results in temporary account suspension until training is completed.

    4. Professional Conduct and Transparency Requirements

    Non-Negotiable Standards

    You MUST at all times:

    • Act professionally, courteously, and ethically toward all customers
    • Provide transparent, itemized pricing before beginning any work
    • Only charge for parts and labor actually used or performed
    • Never manipulate, inflate, or misrepresent prices
    • Never pressure customers into unnecessary services or upgrades
    • Wear visible LockAtlas branding (sticker or badge provided by LockAtlas) while on jobs
    • Arrive within the ETA displayed to the customer
    • Respond promptly to customer and LockAtlas communications

    Zero Tolerance Violations

    The following actions result in IMMEDIATE AND PERMANENT DEACTIVATION:

    • Price manipulation or fraud
    • Harassment, discrimination, or threatening behavior
    • Accepting payment outside the Platform to avoid fees
    • Providing false information during onboarding or verification
    • Operating without valid licenses or insurance
    • Soliciting customers for non-LockAtlas business

    5. Pricing, Commission Split, and Payments

    AI-Powered Pricing

    All job prices are automatically calculated by LockAtlas AI based on job type, location, time of day, and complexity. Technicians may NOT change the price unless there is a valid on-site discovery requiring additional work (which must be approved by the customer).

    Commission Split Tiers

    LockAtlas operates as a marketplace and collects a commission of 40-50% on each completed job. Your earnings are 50-60% depending on your performance tier:

    • Standard Tier: 50% to Technician, 50% to LockAtlas
    • Pro Status: 55% to Technician, 45% to LockAtlas (requires 4.8+ rating, 95%+ completion rate, 100+ completed jobs)
    • Platinum Status: 60% to Technician, 40% to LockAtlas (requires 4.9+ rating, 98%+ completion rate, 500+ completed jobs)

    Payout Schedule

    Payouts are processed every Wednesday via Stripe Connect for all completed and paid jobs from the previous week (Monday through Sunday). You must have a verified Stripe Connect account to receive payouts.

    Taxes

    You are solely responsible for all federal, state, and local taxes on your earnings. LockAtlas will issue IRS Form 1099-K or 1099-NEC as required by law. You agree to provide your SSN or EIN for tax reporting purposes.

    Tips

    Customer tips are 100% yours. LockAtlas takes no portion of tips.

    6. Customer Ratings and Quality Standards

    Your performance is measured by customer ratings, completion rate, and response time. Accounts with an average rating below 4.6 stars for 30+ consecutive days may be placed on probation or permanently deactivated. We monitor:

    • Average customer rating (5-star scale)
    • Job completion rate (jobs completed vs. jobs accepted)
    • Response time to job requests
    • Customer complaints and reported issues

    7. Termination and Deactivation

    Termination by LockAtlas

    We may suspend or permanently deactivate your account immediately and without prior notice if:

    • You violate any provision of these Technician Terms
    • Your licenses, insurance, or background check expire or become invalid
    • Your rating falls below minimum thresholds
    • You engage in fraudulent, unethical, or illegal conduct
    • We believe you pose a risk to customers or the LockAtlas brand

    Termination by Technician

    You may terminate your account at any time by providing written notice to support@lockatlas.com. Termination is effective upon completion of any pending jobs and final payout.

    Effect of Termination

    Upon termination, you will receive final payout for all completed jobs. We will retain financial records and job history for 7 years for tax and legal compliance.

    8. Confidentiality and Non-Solicitation

    You agree to keep confidential all proprietary information about LockAtlas, including pricing algorithms, customer data, and business practices. You agree NOT to:

    • Solicit LockAtlas customers for non-LockAtlas business
    • Use customer contact information for any purpose other than completing LockAtlas jobs
    • Share LockAtlas proprietary information with competitors

    9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCKATLAS IS NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE TECHNICIAN APP, INCLUDING LOST INCOME, BUSINESS INTERRUPTION, OR ACCOUNT SUSPENSION. OUR TOTAL LIABILITY IS LIMITED TO THE TOTAL FEES YOU EARNED THROUGH THE PLATFORM IN THE 12 MONTHS PRECEDING THE CLAIM, OR $500, WHICHEVER IS LESS.

    10. Indemnification

    You agree to indemnify, defend, and hold harmless LockAtlas, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your services to customers; (b) your violation of these Terms; (c) your violation of any laws or regulations; (d) any claims by customers related to your work; or (e) any claims related to your independent contractor status.

    11. Dispute Resolution and Arbitration

    Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in New York, NY.

    YOU AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS, NOT AS A CLASS ACTION OR REPRESENTATIVE PROCEEDING. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

    12. Governing Law

    These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

    13. Changes to These Terms

    We may update these Technician Terms from time to time. We will notify you via email and in-app notification at least 30 days before changes take effect. Continued use of the Platform constitutes acceptance of updated Terms.

    14. Entire Agreement

    These Technician Terms, together with our Privacy Policy, constitute the entire agreement between you and LockAtlas regarding your use of the Technician App and supersede any prior agreements.
